Welcome to Acme. These Terms of Service (“Terms”) govern your access to and use of the Acme website, services, and applications (collectively, the “Service”). Please read these Terms carefully before using our Service.

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you represent and warrant that you are at least 18 years old or the applicable age of majority in your jurisdiction, and that you have the legal capacity to enter into these Terms. Acme provides a premium software-as-a-service (SaaS) boilerplate and related development tools (“Products”). We reserve the right to modify, suspend, or discontinue the Service, or any part thereof, at any time without notice. We will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

3. User Accounts and Security

To access certain features of the Service, you may be required to register for an account. You agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain and promptly update your account information to keep it accurate, current, and complete.
  • Maintain the security and confidentiality of your login credentials.
  • Accept responsibility for all activities that occur under your account.

You must notify us immediately of any unauthorized use of your account or any other breach of security. Acme cannot and will not be liable for any loss or damage arising from your failure to comply with these security obligations.

4. Subscription, Billing, and Payments

Fees: Some aspects of the Service may be provided for a fee or other charge. If you elect to use paid aspects of the Service, you agree to the pricing and payment terms available on our website, as we may update them from time to time. Taxes: You are responsible for all applicable taxes associated with your purchase. Payment Processing: All payments made directly through the Service are securely processed by our designated third-party payment processors. By completing a transaction, you also agree to be bound by their respective terms of service. Refunds: Due to the digital and downloadable nature of our Products, all sales are considered final and non-refundable unless otherwise explicitly stated in writing or required by applicable law.

5. Intellectual Property Rights

Our Rights: The Service and its original content, features, functionality, source code, and design elements are and will remain the exclusive property of Acme and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Your License: Subject to your compliance with these Terms, Acme grants you a limited, non-exclusive, non-transferable, non-sublicensable license to download, install, and use the provided boilerplate code for your personal or commercial projects, subject to the specific limitations detailed in our licensing documentation. You may not resell, redistribute, or create competing derivative products from the raw source code of Acme.

6. User Conduct and Restrictions

You agree not to engage in any of the following prohibited activities:

  • Using the Service for any illegal purpose or in violation of any local, state, national, or international law.
  • Attempting to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Service.
  • Imposing an unreasonable or disproportionately large load on our infrastructure.
  • Uploading invalid data, viruses, worms, or other software agents through the Service.
  • Impersonating another person or otherwise misrepresenting your affiliation with a person or entity.
  • Accessing any content on the Service through any technology or means other than those provided or authorized by the Service.

7. Third-Party Links and Services

Our Service may contain links to third-party web sites or services that are not owned or controlled by Acme. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party web sites or services. You further acknowledge and agree that Acme shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such web sites or services.

8. Disclaimer of Warranties

THE SERVICE AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE SERVICE ARE PROVIDED “AS IS” AND ON AN “AS AVAILABLE” BASIS. Acme EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Acme DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, OR THAT ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Acme, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THIS SERVICE.

10. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Acme operates, without regard to its conflict of law provisions. Arbitration: Any disputes, controversies, or claims arising out of or in connection with these Terms shall be resolved through binding arbitration. This means you waive your right to pursue claims in court or as part of a class action, where applicable.

11. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
